General Terms and Conditions (GTC)

1. Definitions

AUTOPSTENHOJ: AUTOPSTENHOJ GmbH, Sandkampstr. 90, 48432 Rheine, Germany
Corghi USA: Authorized exclusive distributor of AUTOPSTENHOJ products in the United States
Buyer: Any U.S.& Canada based commercial entity purchasing AUTOPSTENHOJ goods or services
Products: Automotive service equipment, and workshop technology and their accessories & parts
Software: Object code and associated documentation provided with the Products
Deliveries: Sale of goods and/or software, with or without installation
Parties: AUTOPSTENHOJ, Corghi USA, and the Buyer

2. Scope

These GTC govern all sales, deliveries, and related services provided by Corghi USA for AUTOPSTENHOJ-branded goods in the U.S. market. Buyer terms deviating from or supplementing these GTC are not binding unless expressly accepted in writing.

3. Legal Notices & Copyright

All legal notices are deemed delivered when posted on our website. All website and documentation content is protected by copyright.

4. Trademarks

All product and brand names are trademarks of their respective owners. Use of these does not imply endorsement.

5. Order Confirmation & Delivery

Deliveries are FCA Corghi USA warehouse unless otherwise stated.
Corghi USA may ship early, partially, or arrange transport at Buyer's expense.
Delivery timelines are approximate and contingent on supplier performance.

6. Force Majeure

Neither AUTOPSTENHOJ nor Corghi USA shall be liable for delays caused by events outside their control, including but not limited to natural disasters, war, terrorism, or labor disputes. If the delay exceeds 120 days, either party may cancel the contract.

8. Retention of Title

All goods remain the property of AUTOPSTENHOJ until full payment is received.

9. Installation & Assembly

If installation is ordered, Buyer shall:

- Provide all necessary site conditions and utilities
- Ensure safe access, storage, and working conditions
- Accept the goods post-installation within 14 days or use constitutes acceptance

10. Software Use

Non-transferable, non-exclusive usage rights are granted to the Buyer for internal business use only.
Copying, sublicensing, or reverse engineering is prohibited.

11. Warranty & Defects

Warranty covers defects under normal use and excludes wear and tear, misuse, or unauthorized modifications.  The warranty conditions are set out in a separate document: Warranty Terms for Resellers. The latest version of this document is available upon request or can be found and downloaded at www.autopstenhoj.us.

12. Limitation of Liability

AUTOPSTENHOJ and Corghi USA are not liable for indirect or consequential damages except in cases of gross negligence, willful misconduct, or injury to life, limb, or health.

13. Data Protection

All customer data is handled per the U.S. equivalent of GDPR principles, ensuring confidentiality and appropriate technical safeguards.

14. Jurisdiction & Governing Law

These GTC are governed by the laws of the State of Ohio, U.S.A., where Corghi USA is incorporated. Jurisdiction lies with the courts of Ohio.

15. Severability

Should any clause of these GTC be deemed invalid, the remaining provisions remain in effect. The invalid clause shall be replaced by a legally valid clause closest in meaning.
